These Terms govern the Griptonite platform and our relationship with individual users and business customers. Part A covers general use of the Service. Part B contains additional contractual terms for gyms and other businesses. Part C applies to Quests, Credits and rewards. Part D contains liability and other legal provisions.
Important provisions: Section 5 licenses content for service delivery, development, model training and permitted promotion. Business subscriptions renew automatically; monthly plans have a three-month minimum term and cancellation requires at least 30 days’ written notice before the relevant renewal date. Section 18 limits subscription-related business liability to 100% of the relevant 12 months’ subscription fees in aggregate for each Contract Year, with annualisation for new subscriptions and separate fee-based treatment of standalone Orders. Section 12.2 provides for late-payment interest and lawful recovery costs. These provisions, and all other restrictions in these Terms, are subject to the mandatory legal exceptions in section 20.1.
Part A - General platform terms
1. Our agreement with you
1.1 The Service
Cascom, Griptonite, we, us and our mean CASCOM LIMITED. The Platform or Service includes our websites, mobile applications including Grip on Tight where these Terms are presented, route-management and gym-administration tools, event scoring, challenges, Quests, rewards wallets, video and movement analysis, digital signage, APIs, integrations and associated services. Features depend on the product, plan and location concerned.
A Consumer is a person entitled to consumer protection under applicable law. A Business Customer is a gym, company, organisation, sole trader or other person obtaining the Service for business or organisational purposes. A business acting as a promoter, reward provider or sponsor is also subject to Part B when it accepts these Terms in that capacity.
1.2 Acceptance and authority
You accept these Terms by agreeing to them in an account, order or registration process, by confirming acceptance in writing, or by using the Service after these Terms have been brought to your attention in a way that validly incorporates them into your agreement. Do not use the Service if you do not agree.
A person accepting for a business confirms that they are authorised to bind the identified legal business. Each business must identify its contracting entity accurately. Access by a member of staff does not, by itself, make every company in the same group a party to the agreement.
1.3 Orders and additional conditions
An Order is a quotation, order form, online checkout, subscription confirmation or other commercial agreement accepted by both the Business Customer and Cascom. The Order identifies the applicable services, Fees, subscription and any expressly agreed departures from these Terms.
Mandatory law takes priority. Subject to that, an expressly agreed written variation or Order takes priority over these Terms for its subject matter. An applicable data processing agreement takes priority for processing it governs. These Terms take priority over purchase-order terms supplied by a Business Customer unless Cascom expressly accepts those terms in writing.
Our Community Guidelines apply to community features. Our Privacy Policy explains our processing of personal information. A privacy notice does not replace a legally required consent or data processing agreement. App-store, purchase, event and promotion conditions also apply where presented and incorporated for the relevant transaction.
2. Accounts, eligibility and security
You must be at least 13 to operate your own general Platform account, meet any higher local requirement, and have any legally required parental or guardian permission. Quests and promotional Credit wallets are restricted to people aged 18 or over who have also reached the age of majority where they live. A parent or gym cannot waive the Quest age limit or participate through a child’s identity.
Provide accurate account details, keep them up to date and supply verification we require. Do not impersonate another person, misrepresent your age or create accounts to evade restrictions. Some features require email verification, a qualifying membership or a verified connection to another system.
Keep credentials confidential, secure the devices you use and notify us promptly of suspected compromise. You are responsible for your authorised users and for activity attributable to your acts, omissions or failure to protect your account, to the extent permitted by law. Business Customers must control staff access, remove obsolete permissions and use individual credentials rather than shared personal logins.
We may refuse registration or restrict account functionality, subject to section 10 and mandatory law.
3. Licence and acceptable use
While your agreement remains in force, required Fees are paid and you comply with these Terms, we grant a limited, revocable, non-exclusive, non-transferable licence to use the Service for your personal activities or your business’s authorised operations. Rights not expressly granted are reserved.
You must use only the locations, accounts, integrations, devices and other entitlements included in your plan. You may use the supplied sharing, export and signage features for their intended purposes. You must not resell access, operate an unauthorised service bureau, bypass usage limits or make the Service available to unlicensed businesses.
You must not use the Service unlawfully; interfere with systems or other users; introduce malware; fabricate activity; access another person’s account or data without authority; send unlawful or unsolicited communications; or upload infringing, abusive, defamatory, exploitative or otherwise unlawful material. You must comply with the Community Guidelines and applicable gym and event rules.
You are responsible for compatible hardware, software, connectivity and third-party charges. We may require updates, retire unsupported versions and impose technical limits to operate and protect the Service.
4. Intellectual property, copying and confidential material
Cascom and its licensors own the rights in the Service, including its software, original interfaces and artwork, documentation, templates, branding, algorithms and other protected materials. Your permitted use does not transfer those rights.
Except with our written permission or where a restriction is prohibited by applicable law, you must not:
- Copy, adapt, translate, reproduce, distribute, mirror, sell or create derivative works from protected Platform materials beyond your authorised use.
- Reverse engineer, decompile or disassemble the Service, attempt to obtain its source code or non-public implementation details, or circumvent access controls.
- Scrape, harvest or systematically extract content or data beyond authorised access and export rights, including extraction intended to reconstruct a protected database.
- Use evaluation access, protected materials, non-public outputs or confidential information to reproduce protected elements of the Service or assist a competing implementation.
- Supply protected or confidential materials to a developer, contractor, AI system or model-training service for a prohibited purpose.
- Remove ownership notices, copy protected branding or misrepresent affiliation with Cascom.
Non-public information disclosed during a demonstration, trial, support interaction or commercial relationship must be kept confidential where its confidential nature is identified or apparent. Use it only for the authorised purpose and disclose it only to people who need it for that purpose and are bound by appropriate confidentiality obligations. These restrictions do not cover information lawfully public, independently developed without use of the material, lawfully received without restriction, or required to be disclosed by law.
Nothing restricts rights that applicable law makes non-excludable, including applicable software observation, testing and interoperability rights. Open-source licences govern the components they cover. Permitted export of your own data does not authorise copying our software or protected materials.
5. Content, data, model development and promotional use
5.1 Your content and permissions
User Content includes videos, beta footage, photographs, audio, route information, activity records, scores, comments and other material submitted or made available through the Service. You retain any ownership rights you hold in that content.
You warrant that you have the rights and permissions needed to submit User Content and grant the licences below, including rights relating to people shown, music, footage and other third-party material. Do not film or disclose someone else’s private information unlawfully. A gym uploading material is responsible for obtaining permissions from its contributors and participants where required.
5.2 Licence to Cascom
You grant Cascom a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to host, store, reproduce, process, analyse, annotate, edit, adapt, translate, transmit, publish, display, perform, distribute and create derivative works from User Content for the purposes in this section. The licence includes extraction of still images, clips, measurements, movement representations, labels and other derived information.
Subject to section 5.6, the licence is continuing and survives account closure for uses lawfully permitted under this section. No payment, royalty or approval of each individual use is due unless separately agreed or required by law. We may sublicense the necessary rights to service providers, contractors, distribution partners and a lawful successor to our business.
5.3 Research, development and training models
We may use User Content and activity, interaction, performance and technical data to operate, secure, test, analyse, research, develop and improve the Service and associated products. This includes developing datasets and training, fine-tuning, validating, evaluating and improving statistical, machine-learning and artificial-intelligence models, including video analysis, movement analysis, recommendations and abuse detection.
We may use contractors and technical providers to perform this work for us under appropriate agreements. These permissions do not give those providers an independent right to use the data for unrelated purposes.
Cascom retains rights in its resulting software, models, analytics, methods and other independently protectable developments, excluding your underlying content rights and any rights applicable law gives individuals in personal information. We may use genuinely anonymised or aggregated information that no longer identifies individuals for development, benchmarking, commercial analysis and promotion.
Subject to section 5.6, these permitted purposes include preparing and releasing genuinely anonymised or appropriately tested non-personal synthetic datasets and materials for hackathons, developer programmes, research, testing and related product development. Cascom may organise, sponsor or participate in these activities and license eligible materials to selected participants or for public reuse, including permitted commercial reuse, under separate dataset terms. To the extent you hold relevant intellectual-property rights, the licence in section 5.2 includes those acts. It does not authorise disclosure of identifiable information without its required lawful basis or override private-media restrictions, third-party rights or customer confidentiality.
An expressly granted dataset licence authorises only the materials and uses it covers; it does not waive the restrictions protecting the rest of the Platform in section 4. Removing names or substituting account identifiers alone does not establish anonymisation. Publicly released material that is genuinely non-personal may not be recallable or attributable to an individual for later withdrawal; applicable duties concerning identifiable information remain unaffected.
5.4 Advertising, promotion and display
For the promotional uses permitted by section 5.6, you authorise Cascom to use User Content, your relevant display name, image, voice and likeness, and associated activity information to demonstrate, advertise and promote Griptonite, participating gyms, events and associated sponsor campaigns. This may include beta videos on gym televisions, digital signage and leaderboards; content within the app; websites; social media; presentations; email campaigns; print material; and advertising.
We may also use eligible activity and usage data to select, personalise, measure and improve advertising and promotional communications, subject to the applicable privacy information, lawful basis, consent and opt-out requirements.
5.5 Gym and sponsor use
You authorise Cascom to sublicense the promotional and display rights in section 5.4 to participating gyms and Approved Sponsors, meaning commercial partners authorised by Cascom for relevant promotions or campaigns. Their use must relate to Griptonite, the participating gym, the relevant event or the associated sponsor campaign and must remain within the permissions that lawfully apply to that content.
A gym or Approved Sponsor may use permitted media on its own screens, websites, app pages, social channels and advertising materials. It may use production and distribution providers for those purposes, but must not sell or sublicense the media for unrelated use. Approval by Cascom is not a substitute for any permission the gym or Sponsor must obtain from the individuals concerned. This media licence is not unrestricted access to private account records or contact databases.
5.6 Privacy, private media and legal permissions
The licences above concern intellectual-property and permitted publicity rights. They do not replace a lawful basis under data protection law, override confidentiality or valid privacy settings, or constitute consent where a separate consent or release is required.
Private or restricted media may be processed to provide the selected feature and for necessary support, security and legal compliance. Photos and videos uploaded in private mode are not made available to gym staff through the Service. Shared development, model training or evaluation, promotional use or external dataset release involving that private media or its derived annotations or measurements requires your express consent for the relevant use. This restriction cannot be bypassed by first removing names or extracting measurements. Identifiable promotional media may be used only within permissions validly obtained from the people concerned; required sponsor-specific permissions must identify the relevant organisation. A user’s acceptance cannot supply rights belonging to another person appearing in a video.
Where consent is required, the relevant use will not take place until that consent has been obtained, and withdrawal must be respected as required by law. The same applies to legally required parental permissions, marketing preferences, objections and deletion rights. These Terms do not by themselves authorise identifiable children’s media to be used in advertising or model training.
Where Cascom holds personal information solely as a processor for a Business Customer, the customer’s lawful documented instructions and applicable data processing agreement govern it. Independent advertising or model-development use of that information requires a separately established lawful arrangement.
After removal or account closure, we may retain and use copies or derived material only so far as the continuing licence, applicable privacy information and law permit. There is no automatic obligation to discard a genuinely non-personal model or anonymised result solely because an account closes.
5.7 Removal, withdrawal and external platforms
Use an available media control or contact us to identify the material and the use you want stopped. Include a post link or campaign details where available. An in-app deletion does not necessarily identify every separate promotional post or withdraw every independently granted permission. We also perform the identification, removal and notification steps required by applicable law.
Where cessation or removal is required, we act without undue delay in relation to content and uses we control, including posts on accounts we operate on third-party platforms. For copies controlled by another platform or recipient, we use the relevant removal or notification process and take the further steps required by law. A valid withdrawal does not retrospectively invalidate earlier lawful use.
We do not guarantee immediate or complete removal from every independent platform, repost, download, search cache, backup or printed item already distributed, or a third party’s processing times. Subject to section 20.1, Cascom does not accept liability solely for an independent third party’s delay or failure outside our reasonable control after we have performed our applicable obligations. No additional contractual promise of internet-wide recall, a fixed third-party completion date or discretionary compensation is made.
This limitation does not excuse failing to remove a post we can and must remove, failing to stop an unauthorised ongoing use, or failing to take legally required reasonable steps or notify recipients. Necessary legal and permission records may be retained on a lawful basis. The Privacy Policy explains applicable rights and retention.
6. Gyms, events, analysis and safety
Unless expressly agreed otherwise, Cascom does not operate gyms or supply their admission, memberships, instruction, facilities, equipment, events or rewards. Those services are supplied by the identified operator under its conditions.
Grades, route descriptions, scores, analytics, recommendations, training suggestions and AI or video-analysis outputs may be inaccurate, incomplete or unsuitable for a particular person. They are information tools, not safety certifications, medical advice or a substitute for instruction, supervision or independent judgement. Do not rely on the Service as emergency or protective equipment.
Gym and event operators are responsible for their rules, staff, safeguarding, eligibility, scoring verification and safe operation. Users must follow those rules and must not attempt unsafe activity to complete a challenge or obtain a reward.
7. Integrations and third-party services
Third-party systems, app stores, payment providers, gyms and sponsors operate independently of Cascom. Their terms and privacy information apply to their own services. An integration, link or listing does not constitute a guarantee of performance or an endorsement of every third-party statement.
Only connect accounts you are authorised to use. Integrations may exchange membership, check-in, activity or other information described in the relevant feature and privacy information. Availability, compatibility and data delivery depend on the third-party provider and may change or cease.
Except for a separate written commitment or liability that cannot be excluded, Cascom does not guarantee third-party uptime, accuracy, security, continuing compatibility or fulfilment. A third party’s failure does not make Cascom liable for that party’s obligations.
7.1 Optional sponsored promotions and participant details
A promotion through Griptonite, Grip on Tight or another Service may offer participation involving disclosure of your email address and other specified participation details to a named sponsor. Before the choice, the promotion must identify the sponsor, the information, the purpose and the relevant privacy notice. Disclosure requires your expressly recorded choice and the applicable lawful conditions; general acceptance of these Terms or sponsorship alone is not permission to export a participant list.
You may decline the promotion without losing unrelated Service access. Information genuinely required to administer the promotion or fulfil its reward may be a condition of that particular activity. Independent sponsor marketing is a distinct purpose that must be expressly described and separately authorised where required. It must remain separately optional wherever applicable law requires; the option to avoid the entire promotion does not automatically make bundled marketing consent valid.
The sponsor is responsible for its independent processing, communications and required opt-out arrangements. Cascom retains its own applicable disclosure, permission and rights-handling responsibilities. Applicable local collection, sale/sharing and financial-incentive rules must be met before the relevant disclosure.
8. Availability, support and product changes
We use commercially reasonable endeavours to operate and maintain the Service. Except for express commitments in an applicable Order and obligations that cannot be excluded, the Service is supplied as is and as available, without an uptime, error-free-operation, compatibility or fitness guarantee.
Outages, bugs, errors, delayed or lost data, maintenance, updates and third-party failures may occur. We determine maintenance, support and development priorities. Unless expressly agreed in writing, there is no service-level agreement, guaranteed response or repair time, automatic service credit or compensation for interruption.
We may add, modify, replace, limit or discontinue features and change technical requirements. Roadmaps, demonstrations, discussions and feature requests do not commit us to deliver future functionality unless an authorised written agreement expressly does so. Notices and remedies are provided only where required by an applicable agreement or law; no additional notice or compensation commitment is created by this section.
The specific business risk allocation and exclusions in sections 11 and 18 apply to Business Customers. Consumers retain the mandatory rights identified in section 20.1.
9. Consumer purchases and subscriptions
This section concerns purchases made as a Consumer. Business subscriptions are governed by Part B instead.
The seller, price, currency, taxes, billing frequency, renewal arrangements and cancellation method are identified in the purchase process. Only use a payment method you are authorised to use. A purchase from a gym or other third party is with that supplier, not Cascom merely because the transaction uses the Service.
A recurring subscription renews on the terms disclosed at purchase until cancelled through the identified route. App-store-billed subscriptions must be managed through the relevant store. Deleting the app, closing an account or ceasing use does not itself cancel a separately billed subscription. No business-only minimum term, notice period, late-payment charge, indemnity or business-liability cap applies to a Consumer purchase.
We do not provide discretionary refunds unless we choose to do so or a purchase policy states otherwise. Statutory cancellation, conformity and refund rights remain unaffected. Required digital-supply consents and cancellation acknowledgements must be obtained separately where applicable. Applicable changes to recurring charges are subject to legally required notice and consent.
A declined order for which payment has been taken will be refunded. Any commercial warranty for physical goods is described in our Warranty and Returns terms and does not replace mandatory rights. Buying a subscription, admission or goods is not a purchase of promotional Credits.
10. Account restrictions and termination
We may refuse, restrict, suspend or terminate access, remove content, disable an integration or take other protective action for breach of these Terms, suspected abuse or fraud, payment default, security or safety concerns, legal requirements or discontinuation of an affected service. Where legally permitted, action may be immediate and without advance notice or an opportunity to remedy the issue.
Business suspension and termination are additionally governed by section 14. Other discretionary restrictions are subject to the applicable paid contract and section 20.1.
You may request account closure using an available account control or by contacting us. Closure does not cancel separately billed subscriptions, discharge existing obligations or create a new entitlement to re-enter a Quest. Access to features, records and wallets may end. Retention and deletion are governed by applicable law and privacy arrangements.
Requests for an explanation or reconsideration may be submitted to us. Except for legally required complaints, notices and review procedures described in section 24, any additional review, reinstatement, explanation or goodwill remedy is discretionary and is not promised.
Part B - Additional terms for gyms and other businesses
This Part is a business services agreement with Cascom. It applies to Business Customers, not individual climbers acting as Consumers. A Sponsor or another organisation is bound only when it accepts the relevant agreement through an authorised representative; displaying its logo is not acceptance.
11. Business responsibilities and due diligence
You must assess the Service before committing to it and identify in writing any essential technical, operational, legal or commercial requirement you need Cascom to accept. Do not assume that a trial, sales discussion or available setting confirms suitability for every use or jurisdiction. A requirement binds Cascom only if expressly accepted in an authorised written agreement.
You are responsible for your business, premises, equipment, staff, customers, permissions and operations. Establish your own verification, financial reconciliation, backups, incident handling and manual fallbacks. Independently check scores, reports, automations, check-ins, reward entitlements and other outputs before decisions that could cause loss or legal exposure. The Service is not your sole record, safety system, legal adviser or substitute for management controls.
International operations and promotions are your responsibility. Before launching in a territory, you must undertake your own due diligence on consumer and advertising law, reward availability and expiry, prize and gambling rules, marketing and image permissions, children’s protections, privacy, tax, accessibility and required language or disclosures. This includes applicable federal, state, provincial and local rules in the United States, Canada, Australia and elsewhere.
An enabled setting, template, integration or feature is not legal approval. Do not operate a promotion that you cannot lawfully administer. Cascom is not retained to approve, monitor or enforce your compliance, fund your obligations or provide legal advice. Your due-diligence duties do not transfer your liabilities to Cascom or displace duties the law imposes directly on Cascom.
12. Fees, billing and late payment
12.1 Fees and payment
Fees are the subscription, setup, hardware, usage and other charges in the Order or otherwise expressly agreed. Business prices exclude VAT and other applicable taxes unless stated otherwise. Subscription Fees are payable in advance on the relevant billing date. Other invoices are payable by their stated due date or, if none is stated, within 14 calendar days of issue.
Maintain accurate billing details and a valid payment method or mandate. You authorise recurring collection to the extent of the payment authority you provide. Processor restrictions and mandatory payment rules remain applicable. Fees are payable without set-off or deduction except where law requires otherwise.
Your obligation to pay is not conditional on actual usage, your revenue or continued trading. No refund, credit, reduction or extension is due for non-use, customer-caused delay or a lawful suspension caused by your default unless an Order or mandatory law requires it.
12.2 Late-payment rights
Statutory recovery. Where an overdue business payment is subject to the Late Payment of Commercial Debts (Interest) Act 1998, Cascom may claim statutory interest, fixed compensation and additional reasonable recovery costs available under that Act and the applicable regulations, as amended or replaced. The statutory rates, thresholds, starting dates and calculation rules apply. This paragraph preserves that statutory remedy and does not replace it with an alternative contractual rate or administration charge.
Contractual fallback. Where that statutory regime does not apply to the debt, overdue business payments carry simple interest at an annual rate of eight percentage points above the Bank of England base rate, as that base rate changes from time to time. Interest accrues daily, without compounding, on the outstanding principal from the day after its due date until cleared payment is received. A lower mandatory legal maximum applies where required. Cascom may also recover reasonable collection costs to the extent permitted by applicable law.
We will not recover statutory and contractual interest for the same debt and period, charge statutory fixed compensation more than once for the same qualifying debt, or recover the same collection cost twice. A fixed compensation sum is not a separate charge for each reminder.
Non-payment may result in suspension or termination under section 14. A decision to delay enforcement or waive a charge for one debt does not waive our rights for another debt. No contractual grace period is created by a payment retry, reminder or temporary decision to continue access.
12.3 Future charges
We may revise Fees and plans for future billing periods, subject to the Order and legally required notice. Any increase applying at renewal will be communicated before the contractual deadline for cancelling that renewal. Payment disputes do not permit withholding unrelated undisputed Fees.
13. Business subscription term, renewal and cancellation
13.1 Start date and billing anniversaries
The Billing Start Date is the paid subscription start date in the Order or subscription confirmation. A Billing Anniversary is each monthly or annual renewal date measured from that date, according to the plan. Where a month has no corresponding date, the anniversary is its final calendar day. Moving a collection attempt or issuing a replacement invoice does not reset the contractual anniversary.
13.2 Monthly plans
A monthly plan has an initial minimum term of three consecutive monthly billing periods from the Billing Start Date. There is no right to end it for convenience before that minimum term ends. Notice may be given during the minimum term, but cannot take effect earlier.
After the minimum term, the plan continues and renews monthly until ended under these Terms. It does not restart a new three-month minimum term at each monthly renewal unless a new minimum term is expressly agreed.
13.3 Annual plans
An annual plan commits you for the full annual subscription period and renews for successive annual periods unless ended under these Terms. An agreed instalment arrangement does not turn an annual commitment into a monthly cancellable plan.
13.4 Your cancellation notice
To stop renewal, give us at least 30 calendar days’ written notice before the relevant Billing Anniversary, by email to info@griptonite.io or by written notice delivered to the address at the top of these Terms. Identify the contracting business, affected gym account or locations and the subscription to be cancelled.
Cancellation takes effect immediately before the first Billing Anniversary that is at least 30 calendar days after we receive valid notice and is not earlier than the end of the minimum or committed term. If the deadline is missed, the subscription renews for the next monthly or annual period, as applicable, and Fees for that period remain payable.
Written notice received by us is effective without needing a discretionary acceptance of cancellation. You are responsible for retaining evidence of delivery. Non-payment, cancellation of a payment mandate, account deletion, a message to a third-party provider, ceasing to use the Service or selling your business is not cancellation notice to Cascom.
Fees remain payable until the effective termination date. Prepaid Fees are not refundable merely because notice is given or usage stops. Any exceptional early release must be expressly agreed by Cascom in writing. Rights to terminate or obtain a remedy that cannot lawfully be excluded remain unaffected.
14. Business suspension, termination and consequences
We may immediately suspend all or part of the Service or terminate the affected business agreement, without an advance warning or cure period where law permits, if you fail to pay when due, breach these Terms or an Order, misuse access, expose us or others to material risk, or use the Service unlawfully. Restoration may require payment of outstanding sums, correction of the breach and any lawfully recoverable reconnection costs.
We may also terminate a business agreement for convenience by written notice taking effect at a Billing Anniversary. We may discontinue affected services sooner where necessary for a legal, security or third-party dependency reason, subject to mandatory law and any express Order commitment. A discretion to terminate does not remove a refund or other obligation that cannot legally be excluded.
Where permitted, cessation of trading or insolvency may be grounds for action. These rights are subject to applicable insolvency restrictions on terminating or changing supply or requiring payment of pre-insolvency debts.
During a suspension caused by your default, contractual Fees continue to accrue. Termination does not discharge accrued Fees or an enforceable minimum-term or committed-period obligation. We may recover lawful outstanding amounts or damages, but not obtain duplicate payment or an unenforceable penalty. No new renewal period is created after termination has taken effect.
On termination, you must stop using the affected Service, return materials under section 15 and remove credentials and confidential materials from unauthorised users. Arrange needed exports before access ends. We do not promise indefinite storage, free migration or post-termination access; legally required data return, deletion and assistance remain governed by the applicable data processing agreement and law.
You remain responsible for customer and reward obligations that survive withdrawal. Those obligations do not require Cascom to maintain an unpaid or terminated service indefinitely.
15. Tags, television equipment and other materials
Unless an invoice or written agreement expressly records an outright sale or transfer of ownership, physical items supplied for use with the Service remain Cascom’s property. This includes loaned NFC or QR tags, televisions, media players, power supplies, accessories, posters, signage and other supplied materials. Items already sold outright or expressly gifted to you are not retrospectively converted into loaned property by these Terms.
Keep our property secure and in serviceable condition, use it only as authorised and do not sell, pledge, dispose of or transfer it without our written consent. You bear the risk of loss or damage while it is in your custody, except to the extent attributable to Cascom or a risk that cannot legally be allocated to you.
On termination, cancellation taking effect, or a lawful recall, return all returnable items within 14 calendar days, at your expense, securely packaged and with tracking, to CASCOM LIMITED, 53 Welburn Park, Newcastle upon Tyne, NE2 2JY, United Kingdom. Include your business name and account reference. Our written instruction may identify a different return destination or items we do not require back.
For missing, unreturned or damaged items, we may invoice the applicable return or replacement charge disclosed when supplied. If no charge was agreed, we may recover reasonable repair, replacement and recovery costs reflecting the item and our actual loss, allowing for ordinary wear and avoiding double recovery. A replacement charge does not entitle us to keep both full replacement value and an item subsequently returned without an appropriate adjustment.
Returning materials does not cancel a subscription or discharge other sums owed. A business sale does not transfer ownership of Cascom’s equipment.
16. Business sales, assignments and changes of operator
16.1 Transfers by Cascom
You agree that Cascom may assign its rights and transfer or novate its contractual position to an affiliate, purchaser or successor in connection with a business sale, asset transfer, merger or reorganisation. The successor must assume the obligations being transferred, and we will identify the new contracting party and transfer date in a written notice. Any legally necessary further instrument or consent will be dealt with as required by law.
A transfer does not itself cancel your subscription. It does not remove any liability or remedy that cannot lawfully be transferred or excluded. Where a valid novation substitutes a successor for future performance, Cascom is released from that future performance to the extent of that novation.
16.2 Transfers by a Business Customer
You must not transfer the agreement, credentials, licensed access or loaned property without Cascom’s prior written consent. Before selling or transferring the relevant gym business or assets, you must notify us and arrange for the proposed buyer to assume the relevant agreement and obligations through a transfer or novation approved by Cascom. You must make those arrangements part of the sale process rather than assuming the subscription ends.
A share sale or change of control does not change the contracting legal entity and does not automatically cancel its agreement. In an asset sale to a different legal entity, the buyer is not bound merely because it bought the gym: the required assumption and transfer must be completed.
Until Cascom expressly releases you in writing under an effective transfer, you remain liable under your agreement. Failure to arrange a transfer does not release the selling business from Fees, minimum commitments, equipment or reward obligations. We may refuse access to an unapproved successor.
17. Business content, personal information and indemnity
You must have the rights, lawful bases and permissions needed for information, media and instructions you submit. Provide required notices, obtain required image and marketing permissions, protect access and fulfil the individual-rights requests for which you are responsible. Do not assume that a user’s acceptance of Cascom’s Terms supplies every permission needed for your independent advertising.
For a sponsored promotion, the Promoter and relevant Sponsor must identify the actual recipient and purposes, present the required choices before collection or disclosure, and keep evidence of permissions and withdrawals. A sponsor logo, a participant export or an administrator’s access does not establish marketing permission. Use participant information only within the disclosed lawful scope; provide any required separate opt-out and local incentive or collection notice. A gym or Sponsor using media must keep sufficient distribution records to handle legally required cessation, removal and recipient notifications and must cooperate with lawful requests concerning its copies.
Where Cascom processes personal information solely on your behalf, an appropriate data processing agreement must be in place. Your instructions must be lawful. These Terms are not a substitute for that agreement or for international-transfer safeguards. Neither a Sponsor’s funding nor an administrator account authorises unrestricted access to personal information or children’s data.
You grant Cascom permission to identify your business as a customer or participating venue and use your business name, trademarks and logos for that accurate purpose and to promote the Service, subject to any separate written restriction. This does not authorise an untrue endorsement.
To the extent permitted by law, you will indemnify Cascom, its officers and personnel against third-party claims, liabilities, damages and reasonable external legal costs attributable to your unlawful operation or promotion; failure to supply your rewards; unauthorised content or data; infringement or misuse of confidential material; unlawful instructions; or breach of these Terms by you or your authorised users. This does not require indemnification for amounts attributable to Cascom’s own breach or misconduct, or fines or other liabilities that cannot lawfully be shifted.
We will notify you of an indemnified claim and may control the defence and settlement, taking account of your legitimate interests and avoiding unnecessary costs. You must provide relevant assistance and must not make an admission or settlement binding Cascom without our written consent. Late notification affects recovery only to the extent the delay materially prejudices the defence. This indemnity survives termination.
18. Business warranties, exclusions and fees-based liability limits
This section applies only to Business Customers and is subject to section 20.1, mandatory law and any different liability allocation expressly agreed in writing by Cascom.
18.1 Service warranties and failures
Except for express obligations in an Order and terms that cannot be excluded, we exclude implied warranties and conditions concerning quality, fitness, merchantability, non-infringement, accuracy, availability and satisfactory results. No revenue, attendance, retention, savings, integration outcome or promotional result is guaranteed.
We do not guarantee uninterrupted or error-free service, successful operation of every integration, delivery of every notification or continued availability of every feature. Section 8 governs support and service commitments. No automatic service credit or compensation is payable merely because an outage, delay, bug, error, inaccuracy, data loss, incompatibility or other service failure occurs. Any liability that nevertheless arises is subject to the exclusions and limits in this section. An expressly agreed service-level remedy remains subject to the terms on which it was agreed.
18.2 Excluded business losses
To the fullest extent permitted by law, Cascom is not liable for lost profits, revenue, anticipated savings, business, opportunities or goodwill, or for indirect or consequential loss, whether or not foreseeable. You remain responsible for the independent checks, backups and operational fallbacks required by section 11. Any otherwise recoverable direct loss, including reasonable data-restoration costs where legally recoverable, remains subject to the applicable aggregate cap rather than being excluded solely because a service failure occurred.
18.3 Annual aggregate cap for subscriptions
Cascom’s total aggregate liability arising out of or in connection with a business subscription agreement, for all events allocated to a Contract Year, is limited to 100% of the relevant Subscription Fees calculated under section 18.4. This is one shared cap for that agreement and Contract Year, not a separate cap for each incident, claim, claimant, user, location or legal cause of action.
A Contract Year is each consecutive 12-month period beginning on the Billing Start Date and its annual anniversaries. A monthly renewal does not start a new Contract Year. An event occurring before the Billing Start Date in connection with the agreed subscription is allocated to its first Contract Year. An event occurring after that subscription ends is allocated to its final Contract Year; termination does not create a fresh cap.
Each event is allocated to the Contract Year in which it first occurred, not the year in which a claim is made or a loss is discovered. Claims arising from the same or connected acts, omissions, incidents or continuing failure are allocated together to the Contract Year of the first such event, even if further effects occur in later years. Unrelated events in the same Contract Year also share that year’s cap.
Where one agreement covers several locations or authorised users, the relevant Subscription Fees are those for that agreement as a whole and the cap is shared across it. Separate agreements do not increase the amount recoverable for the same loss, and there is no double recovery.
18.4 Calculating the subscription cap
Subscription Fees means the recurring charges paid or properly payable to Cascom for Platform access under the affected subscription agreement, including recurring plan and usage charges. It excludes VAT and other taxes; separate setup, hardware and other one-off charges; interest and debt-recovery charges; Sponsor funding; reward budgets; and amounts collected or paid through for third parties. Count a Fee only once, whether paid or still payable.
The calculation date is the date of the first event giving rise to liability allocated to the relevant Contract Year. For an event before the Billing Start Date, use the Billing Start Date. If the first event allocated to the final Contract Year occurs only after the subscription ends, use the subscription end date. The cap is fixed at the calculation date for all claims allocated to that year; later claims, fee changes, credits, refunds or termination do not recalculate it.
For a subscription that has run for at least 12 months at the calculation date, the cap is the Subscription Fees attributable to the 12 months immediately preceding that date. Allocate an annual or other advance charge to the service period it covers, rather than counting the whole payment solely by its invoice or collection date.
For a subscription that has run for less than 12 months at the calculation date, use the annualised subscription charge agreed for the plan in force at that date: the monthly charge multiplied by 12 for monthly billing, or the actual agreed annual charge for annual billing. Apply agreed discounts and the same proportional approach to another billing interval. For variable recurring charges, annualise their average over the completed billing periods available; if none is available, include only the minimum variable charge, if any, committed in the Order. Do not multiply an annual payment by 12 or include speculative future usage.
There is no additional fixed monetary minimum. The cap is calculated in the currency in which the relevant Fees are payable.
18.5 Standalone supplies and scope of the limits
For a separately contracted non-subscription service, one-off event service or hardware supply, Cascom’s total aggregate liability under the separate Order is limited to 100% of the Fees paid or properly payable to Cascom for that Order, excluding taxes, Sponsor funding, reward budgets and third-party pass-through amounts. This is one cap for that standalone Order, not a new cap each year or for each incident. A claim is subject to the cap for the agreement under which the relevant obligation arose; a standalone Order does not add a second recovery for the same loss.
The exclusions and limits apply regardless of whether a claim is framed in contract, negligence, other tort, breach of statutory duty or otherwise, but only to the extent legally effective. They do not limit your payment, equipment-return, reward or indemnity obligations, apply to Consumer claims, or restrict liability that section 20.1 preserves. The exclusions and caps are separate provisions to the extent they can operate independently.
Part C - Quests, Credits and rewards
19. Additional promotion rules
19.1 Roles and responsibility
A Quest is an identified challenge or promotion. Points record progress or ranking. Credits are earned promotional benefits held in an eligible wallet and usable for available rewards.
The Promoter organises the Quest. The Reward Provider is the business responsible for the wallet’s redemptions and rewards. A Sponsor supports the campaign through funding, goods or other assistance. The same business may hold several roles. The responsible businesses and participating locations must be identified in the promotion or wallet information.
Unless Cascom expressly accepts a role in writing, it supplies the administration technology only. Displaying a Quest, issuing a system credit, showing a Sponsor logo, providing support or enabling redemption does not make Cascom the reward supplier, guarantor or insurer. Claims concerning a third-party promotion or reward are against the responsible Promoter or Reward Provider, except for responsibility the law imposes directly on Cascom.
Future sponsor-funded promotions may include a brand that is not a gym. Funding does not expand the wallet’s redemption scope. Businesses must agree funding, fulfilment, limits and any data or media permissions before launch. These Terms do not authorise a new arrangement in which Cascom holds or settles regulated monetary value without a separate approved agreement.
19.2 Eligibility and one entry
You must be 18 or over, have reached the local age of majority, have a verified Griptonite email address and meet the Quest’s eligibility rules. Where specified, you must link and verify your own account with the gym’s membership, booking, check-in or other third-party software. Further evidence may be required to establish eligibility or activity, subject to privacy law.
One entry per person per Quest. Re-entry is not allowed. Leaving a Quest, deleting or changing an account, changing email addresses or gyms, or using another device does not reset eligibility. Do not participate for another person or claim their activity. You may enter multiple different Quests. One entry can involve multiple visits or climbing attempts if its rules permit.
The Promoter may gate entry, set participation limits and refuse or restrict participation at its discretion, subject to applicable law and the eligibility conditions it is legally required to disclose. Normal admission, membership, hire and other charges remain separate.
19.3 Earning and administrator powers
Awards depend on genuine qualifying activity and applicable verification. A displayed score, pending award or apparent balance is not conclusive proof of entitlement. Users cannot buy or top up Credits.
The Promoter, Reward Provider and authorised gym administrators may administer, withhold, adjust, rescind or reverse Points and Credits and restrict participation or redemption, subject to applicable law. Grounds include ineligibility, error, duplicate activity, refunded or cancelled qualifying purchases, false evidence, misuse, safety concerns and breach of rules. Cascom may take similar action for platform integrity, security and legal compliance.
Multiple-account abuse, manipulated scans or integrations, fabricated check-ins, false referrals, collusion and exploitation of faults are prohibited. Checks may delay awards or redemption. No discretionary investigation deadline, explanation, appeal or goodwill award is promised; mandatory procedures and remedies remain unaffected.
19.4 Wallets, accumulation and cash value
Credits from different Quests may accumulate in the same eligible wallet and be used together once the balance is sufficient for an available reward.
Credits may be spent only at the gym or locations expressly identified for that wallet. A location in a chain need not participate in the chain’s shared wallet. Common ownership, branding or membership access does not combine wallets or make their Credits interchangeable.
Credits cannot be transferred between user accounts, sold, traded, gifted, pledged or moved between separate wallets. Different users’ balances cannot be pooled.
Credits have no cash redemption value, earn no interest and cannot be exchanged for money except where law requires otherwise. They are not purchased funds, a bank balance or cryptocurrency. No maintenance or inactivity fee is deducted from Credits under these Terms.
19.5 Expiry and transaction records
Subject to applicable law, the Reward Provider sets the lifetime of Credit awards. The applicable period must be disclosed before earning. The transaction log records each award and when it was earned; its applicable expiry information must be available in the wallet.
Expiry applies to the individual Credit award. Oldest available Credits in the wallet are spent first. Earning more Credits or making a partial redemption does not restart earlier awards’ lives. Expired Credits cease to be redeemable unless expiry is unlawful or incorrect.
A gym may change its programme settings and future award periods. The recorded expiry for an existing award continues unless a change is permitted by applicable law. No individual expiry reminder or discretionary extension is promised. Any legally required minimum validity, restriction on time-based expiry or notice takes priority.
19.6 Redemption and combining offers
Redemption requires enough valid Credits, an eligible wallet, an available reward and completion of the approved process. The Reward Provider may specify booking, quantity, location and other restrictions and any additional payment. Screenshots, copied or reused confirmations and another person’s account do not establish a valid redemption.
Credits accumulated from multiple Quests in one wallet may be combined. A redemption cannot be combined with another discount, voucher, promotional code or special offer.
A reward or voucher issued on redemption may have its own disclosed expiry and conditions. Reward quality, supply, refunds and any legally required correction of a failed redemption are the Reward Provider’s responsibility. A Credit redemption does not automatically entitle the user to a cash refund.
19.7 Stock, availability and promotional prizes
Unless a specific offer expressly promises otherwise, catalogue rewards are available only while stocks or capacity last. Earning or holding Credits does not reserve a particular item. Displayed availability is indicative, may be delayed or inaccurate, and is not a stock guarantee or acceptance of a redemption.
The Reward Provider is responsible for its stock information and must use commercially reasonable efforts to keep it accurate. Cascom does not independently verify stock. To the extent permitted by law, neither Cascom nor the Reward Provider accepts liability for exhausted stock, unavailable sizes or alternatives, or errors or delays in availability information. No discretionary restocking, substitute, cash payment or compensation is promised.
These stock limitations do not override a specifically promised prize, an accepted redemption or an obligation that applicable law places on the Promoter or Reward Provider. The responsible business, not Cascom merely as system provider, must meet any such obligation and stop or correct misleading promotion as required by law.
19.8 Changes, cancellation and withdrawal
The Promoter may, at its discretion, change, pause, withdraw or cancel a Quest, promotion or reward offer, including one already in progress, to the extent permitted by applicable law. It may also withdraw a wallet or stop offering future opportunities. No additional contractual right to advance notice, an extension, substitute activity, compensation or a goodwill resolution is created by these Terms.
The Promoter and Reward Provider remain responsible for any notices, existing entitlements, completed redemptions and other duties that the law requires them to honour when exercising those powers. Cancellation does not itself transfer those duties to Cascom. Handling of earned Credits remains subject to applicable law and the relevant wallet rules.
Cascom does not undertake to buy, replace, cash out, fund or fulfil third-party Credits or rewards if a gym or Sponsor changes its offer, withdraws, closes, becomes insolvent or fails to perform. A funding disagreement between businesses does not make Cascom responsible for the shortfall.
19.9 Promoter compliance and separate rules
Promoters and Reward Providers must perform the due diligence in section 11 and publish the significant conditions required by applicable law before entry or earning. They must not use platform discretion or settings as permission to mislead participants, discriminate unlawfully or avoid mandatory promotional obligations.
These Terms do not authorise lotteries, gambling or using Credits as stakes. Prize draws and other regulated mechanics require separately assessed rules and Cascom’s written approval. Incentivised reviews must not be conditioned on positive sentiment and must comply with applicable disclosure and channel rules.
A Promoter must adopt and present the relevant promotion terms to participants. Our business contract with a gym does not, by itself, establish that every participant has accepted that gym’s offer. The business must arrange any legally required ongoing fulfilment or records when leaving Griptonite; Cascom need not continue an unpaid service for that purpose.
Part D - Liability and general legal terms
20. Mandatory exceptions and general liability
20.1 Mandatory exceptions
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that applicable law does not allow to be excluded or limited. This includes non-excludable consumer guarantees and remedies, data protection duties and other mandatory protections. Any restriction concerning gross negligence or deliberate misconduct operates only where legally permitted.
These exceptions apply to every disclaimer, discretion, fee, limitation, indemnity and licence in these Terms. Mandatory protections may also apply to qualifying small businesses; describing a customer as a business does not remove them.
20.2 Consumers and third parties
Cascom does not voluntarily assume liability for a third party’s facilities, events, promotions, rewards, debts or conduct. Our liability to Business Customers for our own acts or omissions is governed by section 18, subject to section 20.1.
For Consumer use, subject to section 20.1, Cascom excludes liability to the fullest extent permitted by law. We do not accept business-loss liability and, where law permits, exclude loss not caused by our breach, loss that was not reasonably foreseeable and indirect or consequential loss. The business-liability limits in section 18 and the business indemnity do not apply to Consumers. No statement that a feature is free removes a non-excludable right.
20.3 Events outside our control
To the extent permitted by law, Cascom is not liable for failure or delay caused by events beyond its reasonable control, including external network or utility failures, third-party service disruption, industrial action, natural events, war or government restrictions. This does not excuse an obligation that applicable law requires us to perform or create a blanket exemption for matters within our control. A Business Customer’s obligation to pay lawful Fees is not suspended solely by such an event.
21. Changes to these Terms
We may amend these Terms to reflect changes to our business, products, commercial arrangements, technology, security or legal requirements. We will publish the revised version and identify its effective date. Where legally required, we will give notice or obtain agreement in the required form.
Continued use of the Service after revised Terms take effect constitutes acceptance of those Terms, except where applicable law requires another method of agreement. A change cannot override a mandatory rule governing contract variations, accrued rights or consent.
Do not continue using the affected Service if you do not accept revised Terms. Business cancellation and committed Fees remain subject to Part B unless an applicable legal right or a written agreement provides otherwise. Publication alone does not impose new Fees or obligations for a period before a change has validly taken effect.
22. Other contractual provisions
If a provision is invalid or unenforceable, the remaining provisions continue so far as the law permits.
A failure or delay in enforcement is not a waiver. A waiver by Cascom must be in writing and applies only to the identified matter. Rights and obligations intended to survive, including payment, return of property, permitted content licences, confidentiality, indemnities, liability restrictions and governing-law provisions, survive termination to their lawful extent.
Our agreement does not create a partnership, agency, joint venture or employment relationship. A gym or Sponsor cannot bind Cascom or promise that Cascom will fund or guarantee its commitments without written authority.
An identified Reward Provider, participating gym or Approved Sponsor may enforce a licence or limitation expressly conferred on it under section 5 or section 19, subject to mandatory law and the conditions of that provision. Otherwise, unrelated third parties have no right to enforce the agreement under the Contracts (Rights of Third Parties) Act 1999. A permitted beneficiary’s consent is not required for an otherwise valid amendment or termination.
These Terms, applicable Orders and properly incorporated conditions constitute the agreement for the relevant Service. For Business Customers, no representation or future-feature commitment outside that agreement is relied on as a contractual promise, to the extent such a provision is legally effective. Fraud and legally binding pre-contract information are not excluded.
23. Governing law and jurisdiction
These Terms and contractual and non-contractual disputes arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject only to mandatory rules that prevent that choice from being enforced.
For Consumers, this clause does not override a non-excludable right to bring proceedings elsewhere or mandatory protections of the law that applies to them.
The English version governs unless a mandatory language requirement or an expressly agreed local document requires otherwise. Availability of the Platform in a territory does not certify the legality of a gym’s promotion there. The business’s territorial due-diligence and compliance duties are set out in section 11.
24. Notices, support and legally required complaints
Send contractual notices, business cancellation notices, legal correspondence and reports to info@griptonite.io or CASCOM LIMITED, 53 Welburn Park, Newcastle upon Tyne, NE2 2JY, United Kingdom. A notice to Cascom takes effect when received at that address or email inbox, subject to mandatory delivery rules. Keep evidence of sending and delivery.
We may communicate service and contractual notices through your registered email, the Platform or another legally permitted channel. You must keep your contact information current. Mandatory timing and delivery requirements take priority.
For gym admission, promotion eligibility, stock or reward fulfilment, contact the identified gym, Promoter or Reward Provider. Cascom may assist in identifying the relevant business, but assistance does not transfer its obligations to us. For technical or account issues, contact Griptonite.
Legally required reports and complaints: Use an available in-app reporting control or email the address above to report unlawful content, safety or privacy concerns, or a restriction you believe falls within a statutory complaints process. Identify the account or content, explain the concern and provide available supporting information. We will assess and handle complaints within the scope and timescales required by applicable law, take any legally required action and provide any legally required reasons or response. Where a law requires a review of a restriction or an opportunity to challenge it, that procedure applies. We may ask for information needed to handle the matter.
Outside those legal requirements, we do not promise advance warnings, an appeal process, reinstatement, compensation, a particular response time or a discretionary explanation. Nothing prevents contacting a regulator or exercising a remedy that cannot lawfully be excluded.
